This Consultant Locator Directory (the “Directory”) is offered to you, conditioned on your acceptance without modification, of the following terms, conditions, and notices contained in this agreement (the "Terms and Conditions"), and in effect at such time of use. IAABC may amend these Terms & Conditions at any time, and shall post such amendments to this page. These Terms & Conditions were last updated on September 26, 2009.

1. Personal Use of the Directory.

   You acknowledge and agree that your use of the Directory is for your personal use and not for any commercial or advertising purposes. You agree that all of the content and information posted on the Directory, is the sole and exclusive property of IAABC, and that you have no right, to reproduce, copy, disseminate, use as part of or in connection with a mailing list, or otherwise utilize the contents of the Directory, in whole or in part, in any form or manner or by any means, except for your personal use. You further agree that IAABC has the right, in its sole discretion, to immediately terminate your access without notice and to initiate without notice appropriate legal actions or proceedings to seek appropriate remedies and/or damages, including but not limited to lost revenue, repairs, legal fees, costs and expenses, and to seek injunctions or other equitable remedies.

2. Consultant Application Procedure Disclaimer.

   IAABC makes no representations, warranties, or guarantees, expressed or implied, arising out of or in connection with your use of this Directory, including but not limited warranties that IAABC’s membership application procedures or standards are sufficient, or that the information presented or disclosed in this Directory is accurate, timely, or error free. IAABC further makes no representations, warranties, or guarantees, expressed or implied, and assumes no responsibility for, the use or performance of the products or services provided by Consultants, including but not limited to warranties of merchantability, fitness for a particular use. IAABC expressly disclaims any and all liability for damages of any kind arising out of or in connection with your use of this Directory or the use or performance of the products or services provided by Consultants.

3. Indemnification.

   By using this Directory, you agree to release and discharge IAABC, its officers, directors, members, employees, independent contractors, agents, and representatives, from any and all liability whatsoever arising out of or in connection with your use of the Directory or disputes with any Consultant, including without limitation legal claims, costs, injuries, losses or damages, demands, or actions of any kind, including without limitation personal injuries, death, and damage to or destruction of property.

4. General Provisions.

   By using this Directory, you agree that: (1) these Terms and Conditions shall be construed and governed in accordance with the laws of the Commonwealth of Pennsylvania and that any claim arising out of or related to these Terms and Conditions will be brought solely in a court in the Commonwealth of Pennsylvania; (2) these Terms and Conditions shall inure to the benefit of and be binding upon the heirs, legal representatives, successors, executors and assigns of the parties; (3) the section headings contained herein are for reference purposes only; (4) the invalidity or unenforceability of any provision or part of any provision will not affect the other provisions, and these Terms and Conditions will be construed in all respects as if such invalid or unenforceable provisions or parts were omitted; (5) the failure of IAABC to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision.
